Account Management

When enrolling in Palabrix courses:

2. Account Security Responsibilities

You are responsible for:

  • Immediately notifying us of any unauthorized use of your account
  • Logging out from shared or public devices after accessing course materials

We cannot be held liable for losses resulting from unauthorized account access due to your failure to maintain security.

3. Account Suspension and Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms of Service or our acceptable use policies
  • Engage in disruptive, abusive, or inappropriate behavior
  • Fail to make required payments or breach enrollment agreements
  • Are inactive for extended periods without prior notification

4. Multiple Account Policies

Students should maintain only one active enrollment account. Creating multiple accounts to circumvent enrollment limitations, payment requirements, or other restrictions is prohibited and may result in termination of all associated accounts.

We strive to provide reliable access to our website and course materials, however:

  • Scheduled maintenance may temporarily interrupt service availability

Palabrix primarily serves students in the Osaka area and surrounding regions. Some services may not be available in all locations. Our courses are conducted in English with Spanish instruction, and participation requires functional proficiency in English.

4. Service Modifications and Updates

We reserve the right to:

  • Modify, update, or discontinue any aspect of our services at any time
  • Change course pricing, duration, or curriculum with reasonable notice to enrolled students
  • Update our website features and functionality to improve user experience
  • Adjust policies and procedures to comply with changing regulations or best practices

Current students will be given notice of changes that materially affect their enrolled courses, and modifications will generally not apply retroactively to active enrollments.

Intellectual Property Rights

1. Content Ownership

All content on the Palabrix website and in our courses is protected by copyright and other intellectual property laws:

  • Course materials, lesson plans, and educational resources are owned by Palabrix
  • The Palabrix name, logo, and branding are our registered trademarks
  • Website design, text, graphics, and multimedia elements are our exclusive property
  • Third-party content used in our courses is licensed appropriately and remains the property of its respective owners

2. Student License and Usage Rights

Upon enrollment, students receive a limited, non-exclusive license to:

  • Access and use course materials solely for personal language learning purposes
  • Download materials provided explicitly for offline study
  • Make personal notes and annotations for individual reference

This license terminates upon course completion or account termination and does not permit redistribution, resale, or commercial use of materials.

3. User-Generated Content Rights

When you submit feedback, reviews, or testimonials:

  • You grant Palabrix a perpetual, royalty-free license to use this content for promotional purposes
  • You represent that you have the right to submit such content
  • We may edit submissions for length, clarity, or appropriateness
  • You may request removal of testimonials or reviews by contacting us

4. Copyright Infringement Reporting

Payment Terms and Refund Policy

1. Course Fees and Payment

Course enrollment requires payment according to the following terms:

  • All fees are stated in Japanese Yen (¥) and are subject to applicable taxes
  • Payment is due in full before the course start date unless installment arrangements have been made
  • We accept payment via bank transfer, credit card, and other specified methods
  • Course fees are non-refundable after the commencement of the second class session

2. Cancellation and Refund Policy

  • Before Course Start: Full refund minus a ¥5,000 administrative fee if canceled at least 7 days before the first class
  • Within First Class: 80% refund if you attend the first class and decide not to continue
  • After Second Class: No refunds are provided once you have attended two or more sessions
  • Medical or Emergency: Special consideration may be given for documented emergencies; contact us to discuss options

3. Course Transfers and Rescheduling

Students may request to transfer to a different course session subject to availability and approval. Transfer requests must be made at least 5 days before the desired new session begins. One free transfer is permitted; subsequent transfers may incur administrative fees.

Limitation of Liability

To the fullest extent permitted by Japanese law, Palabrix and its instructors shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Failure to achieve specific language proficiency outcomes
  • Inability to pass external language certification exams
  • Technical difficulties accessing online course materials
  • Errors or omissions in course content or instruction

Our total liability to you for any claims arising from your enrollment shall not exceed the amount you paid for the specific course giving rise to the claim.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

  • Our services will meet your specific expectations or requirements
  • You will achieve fluency or any particular proficiency level within a specific timeframe
  • Course materials will be error-free or continuously available without interruption
  • Our website will function on all devices or with all internet connections

Language learning outcomes depend on individual effort, aptitude, practice outside of class, and various personal factors beyond our control. While we provide quality instruction and resources, ultimate success requires your active participation and commitment.

Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of Japan. Any disputes arising from or relating to these terms or your use of Palabrix services shall be subject to the exclusive jurisdiction of the courts located in Osaka, Japan.

Before pursuing legal action, we encourage you to contact us to discuss any concerns or disputes. We are committed to resolving issues amicably and fairly through direct communication whenever possible.

Severability and Entire Agreement

If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

These Terms of Service, together with our Privacy Policy and any enrollment agreement you sign, constitute the entire agreement between you and Palabrix regarding your use of our services, superseding any prior agreements or understandings.
